These terms govern your use of MgxChatx, operated by Magentix AI. In these terms "you" means the organization on whose behalf the account is created. By creating an account you agree to these terms, and you confirm you are authorized to bind that organization to them.
The service, honestly described
MgxChatx is an early-access product: an AI-powered WhatsApp inbox that links to your WhatsApp number and replies to your customers using a persona and knowledge base you configure. It currently connects to WhatsApp using WhatsApp-Web technology (a QR-code link), not the official WhatsApp Business Cloud API. An official API tier is on our roadmap but not available today.
WhatsApp ban risk — read this before connecting a number
Using an unofficial WhatsApp connection method carries a real risk that WhatsApp/Meta may suspend or ban the connected number, entirely at their discretion and for reasons outside our control. We build real measures to lower this risk — MgxChatx only ever replies to conversations your customers start (never unsolicited messages, campaigns, or blasts), paces every reply like a human would, and rate-limits automatically. We do not, and will not, promise that your number won't be banned or restricted. Connect a number you are comfortable accepting this risk on — we recommend not using a number you cannot afford to lose. By connecting a number you accept this risk: a WhatsApp suspension, ban, or restriction of your number is not a failure or defect of our service, is not a breach of these terms by us, and does not entitle you to any refund or credit.
Trial & subscription
New accounts get a 30-day free trial with a fair-use AI-reply allowance and no credit card required. Paid subscriptions are billed in SGD via Stripe, monthly or annually as selected. You may cancel at any time; cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where a refund is required by law. If a payment fails or an invoice is unpaid, we may suspend or downgrade the account until it is settled.
Acceptable use
You agree to use MgxChatx only to reply to your own customers' conversations. You will not attempt to use the platform, or ask us to build features, for unsolicited bulk messaging, cold outreach, or marketing to people who have not opted in — this is against the product design and against WhatsApp's own policies. You are responsible for obtaining any consents required for your own customer communications under applicable law (including Singapore's PDPA and Do Not Call Registry where relevant).
Your content
You retain ownership of your business information, knowledge-base documents, and customer conversation data. You grant us the limited right to process that content solely to operate the service (including sending it to our AI provider to generate replies). We own the MgxChatx software itself.
Data processing
Where we handle personal data contained in your customers' conversations, we do so as your data intermediary (processor) under Singapore's PDPA, and only on your instructions and to operate the service. You are the controller of that data and are responsible for having the lawful basis and any consents required to communicate with your customers. We will protect that data with reasonable security arrangements and delete or return it on termination as described in our Privacy Policy, which forms part of these terms. You agree to indemnify us against claims arising from your own use of the platform or your communications with your customers, including claims that your messaging breached the PDPA, the Do Not Call Registry, or WhatsApp's policies.
No guarantees, limitation of liability
MgxChatx is provided "as is" during this early-access period. AI-generated replies may occasionally be wrong or incomplete — you remain responsible for reviewing important conversations. To the maximum extent permitted by law, our total aggregate liability to you is limited to the greater of the fees you paid us in the preceding three months or S$100, and we are not liable for indirect or consequential losses, including losses arising from WhatsApp account suspension. Nothing in these terms limits any liability that cannot be excluded under Singapore law, including liability for fraud or for death or personal injury caused by our negligence.
Termination
We may suspend or terminate accounts that violate these terms, including any attempt to use the platform for cold outreach, spam, or unlawful messaging. You may close your account at any time.
Changes to these terms
We may update these terms as the product evolves; we will update the "last updated" date above when we do. For material changes, we will give you reasonable notice — at least 14 days by email or in-app — before they take effect. Continued use after that date means you accept the updated terms.
Governing law & disputes
These terms are governed by the laws of Singapore, and you and Magentix AI submit to the exclusive jurisdiction of the courts of Singapore.
